Terms of Service

These Terms govern your use of the Charmey platform, the CharmeySign electronic signature service, the Charmey AI assistants on WhatsApp and Telegram, and any related document, certification, bookkeeping or company secretarial support service (together, the "Services"), provided by BIZEC LIMITED (Business Registration No. 80767016), 21/F CMA Building, 64 Connaught Road Central, Central, Hong Kong. By using the Services you agree to these Terms. If you use the Services for a company, you confirm you are authorised to bind that company.
1. What the Services are
The Services combine software and human review. Our AI assistants help you understand requirements, prepare documents and track deadlines. Automated output is reviewed by a person before anything is filed with a public authority or used to make a decision affecting you. We are not a law firm and we do not provide legal, tax or investment advice; where a matter requires the judgement of a lawyer, auditor or licensed professional, we will tell you and, where helpful, help you engage one.
2. Your account and your obligations
- You must give accurate, current and complete information, including the identity of the persons who are to sign or file.
- You are responsible for keeping your phone number, email and any credentials secure, and for activity carried out through them.
- You must only upload documents you have the right to upload, and must not use the Services to sign anything by or on behalf of a person without that person's authority.
- You must not upload unlawful content, attempt to break the security of the Services, or use them to send unsolicited bulk messages.
3. Electronic signatures
Electronic signatures created through CharmeySign are intended to have the same effect as a handwritten signature in Hong Kong in accordance with the Electronic Transactions Ordinance (Cap. 553). Whether a particular document may be signed electronically is a matter for the parties to that document. We record each signature together with the signer's verified phone number, the time of signing, IP address and a tamper-evident audit trail, and we make that record available for verification. Signing links are personal to the intended signer and must not be forwarded. Documents that must by law be executed in wet ink or filed in a particular form remain subject to those requirements.
4. Fees, trials and payment

- Company secretarial, certification, bookkeeping and other services are quoted separately before we start work, and government fees are payable in addition where they apply.
- Subscriptions run for 30 days (monthly) or 365 days (yearly) from activation. We do not take automatic card charges; you pay by FPS or by card where card payment is available, and we activate your plan after the payment is verified.
- If we cannot deliver a paid service, we will refund the amount you paid for it. Subscription periods already used are not refundable, and we do not charge cancellation fees.
- Prices may change; we will give you notice before a change affects a subscription you are paying for.
5. Availability and changes
We aim to keep the Services available at all times but we do not promise uninterrupted service. We may modify, suspend or withdraw a feature, and we may suspend an account that we reasonably believe is being used unlawfully or abusively.
6. Intellectual property
You keep all rights in the documents and data you provide. We keep all rights in the Services, our software, our templates and our know-how. Generated documents may be used by you for your own business purposes.
7. Confidentiality and privacy
We keep your information confidential and handle personal data as described in our Privacy Policy.
8. Limitation of liability
Nothing in these Terms limits liability that cannot lawfully be limited. Subject to that, our total liability arising out of or in connection with the Services is limited to the fees you paid to us for the service giving rise to the claim. We are not liable for indirect or consequential loss, for loss of profit or opportunity, or for the acts of third parties such as messaging platforms, payment providers, hosting providers or public authorities. You are responsible for the accuracy and legal effect of documents you choose to sign or file using the Services.
9. Suspension and termination
You may stop using the Services at any time. We may suspend or end your access if you breach these Terms, if we are required to by law, or if a document request appears fraudulent. Records of documents already signed and filings already made are retained as described in our Privacy Policy.
10. Governing law
These Terms are governed by the laws of the Hong Kong Special Administrative Region, and the Hong Kong courts have exclusive jurisdiction.
